What are the benefits of joining the LawVantage® Library?
A: The benefits of LawVantage® for our Members include the following:

(now over 1,600 documents). Whether billing by the hour or being billed, time is money.
- Locate relevant documents the fast and easy way with either our law practice area search index or our internal search engine.
- Access our documents database at Anytime from Anywhere in the world where you can access the Internet: your main office, a branch office, your home, even remote locations during business trips.
- View our document Summaries and Lists of Key Provisions online in HTML, download formatted documents in either Rich Text Format (RTF) or WordPerfect 5.1 format. If your browser allows you to split screen, you can even view our Lists of Key Provisions online for similar documents side by side to compare them before downloading either or both of them.
- Learn from actual, negotiated deal points such as compensation or pricing, payment and delivery terms, etc found in many of our documents.
- Create checklists of deal points and of concessions previously made in a particular type of deal or by particular companies of interest or both from those documents containing deal points.

Q:
What is meant by "up to 5 document downloads or 1 year, whichever occurs first?"
A: Your membership term will expire at the earlier of the following two dates: the date on which you have downloaded your fifth document or the date that is the 365th day after the activation date of your membership.
Q:
Who researched and drafted the contracts and other useful business
law documents in LawVantage®?
A: Each document in our library has been researched and drafted
by a licensed and experienced attorney. The majority of the documents were drafted for NASDAQ and NYSE companies by their outside law firms or in-house legal departments.
Q:
Can a non-member see the actual documents?
A: As you know, if the documents were viewable to everyone, non-members might be tempted
to print screen to obtain our valuable documents without registering as a member of the
library. Our library membership fee is very low especially when you consider the quality,
scope and sheer number of documents that we offer our members. Please understand that your
annual membership fee helps to underwrite the costs of updating, operating, maintaining and
troubleshooting our library and the costs of our staff. Web development, site maintenance and
other tech consultants charge us hourly rates comparable to attorney rates.
Q:
What if a document of interest to me is not on the web site?
A:
We welcome input from our members. Notify us from our Contact
Us page or send an email at any time to suggestions@LawVantage.com
together with a description of the document you would like to see added to our web site. If it is in
our yet-to-be-posted documents database, then we will try to post it expeditiously. However, we cannot
guarantee if, or when, the requested document will be posted on the site and only search outside our
database when and if time permits. We plan to expand and update our documents database several times
each year and appreciate your guidance.
Q:
Can I get e-mail notification when a new document in a specific law practice area is posted?
A:
If you send us a request for notice with your document suggestion, we will do our best to send you
e-mail notice when the document has been posted to the site. Later we hope to add an automated
system to notify members of any document additions in practice areas of their choice.
Q:
How do I register to join the library and begin downloading contracts
and other useful business law documents?
A: There are two ways to get to the Join the Library page. You may either:

- Click on Join the Library on the navigation bar at the top of
each page to start the membership registration process.
- When you have located a desired document, click on the download link beneath to the document name. A new page will appear asking you to either enter your user name and password or to join the library. Click on the link "Click Here to Become a Member" to Join the Library.
| Follow the instructions to complete our registration form. We've kept enrollment simple for your convenience.
Q:
What is the cost of an annual membership?
A:A full year membership is only US$100.00. Typically, an attorney can recoup the one year membership fee in one billable hour.
Q:
I am uncomfortable using a credit card over the Internet. Can I still join LawVantage®?
A:
Yes. Go to our membership registration page, enter the requested information
and click on the payment by check option or payment via PayPal option.
Check or money order. If you choose payment via check, an invoice will be sent automatically to you
at the e-mail address you specified on the registration page. Please mail a copy of the invoice together
with the check or money order payable to LawVantage.com, LLC in the amount of US$100.00 to our membership
department at P.O. Box 54341, Irvine, California 92619-4341. After we receive payment via check,
our staff will manually activate your account and will send you e-mail notification that your
account has been activated.
Check or money order Restrictions. All checks and money orders must be drawn on a bank account
at a bank branch office located in the United States of America. The cost of processing a check drawn
on a bank account at a bank office located outside of the United States of America is very expensive.
We understand that some banks involved will charge fees totaling US$70.00 to US$100.00 per transaction.
Pay Pal account. If you need to join on a rush basis and do not want to your credit card, please
use your PayPal to pay your membership fee for immediate activation of your username and password. If you
do not have a Pay Pal account and wish to choose payment via PayPal, first visit www.PayPal.com and set up
a personal or business account. After we receive payment via PayPal, our web server will automatically
activate your account and will send you e-mail notification that your account has been activated.
In many countries, you can set up a PayPal account tied directly to your local bank. You direct your
bank to put money into your PayPal account either directly or through PayPal. Then you register as a
LawVantage® member and click PayPal as the method of payment. PayPal will quickly and electronically
send the appropriate payment from your PayPal account to our PayPal account and send us notice of payment
received, and then our system automatically activates your account.
Q:
In what country must I be a resident in order to open a PayPal account?
A:
This list is subject to change at anytime by PayPal. When last we checked PayPal.com, to be eligible for a
PayPal account, you must be a resident one of the approved countries listed below:

Q:
Can I make payment in a currency other than US Dollars?
A:
At this time we are only able to accept payment in United States Dollars. We hope to add other options in the future.
Q:
I tried to register using a credit card and the transaction failed. Why did it fail and what can I do to join?
A:
Sometimes the connection is lost thereby interrupting the credit card procession or your
bank electronically tells our bank that the credit card cannot be used because the credit limit
would be exceeded or the card is otherwise unusable based on the information entered on the
registration form.
First, try to use the card again. If it is still rejected, please use a different credit card.
If you are still unable to join using a credit card, consider paying via a check drawn on a
bank account at a bank office located in the United States of America or via PayPal, or send
us an e-mail to techsupport@LawVantage.com or
to membership@LawVantage.com.
Q:
Can I register paying with a check drawn on a bank account at a bank office located in my country (which is not the United States of America)?
A:
No. Unfortunately, the cost of processing a check drawn on a bank account at a bank office located outside
of the United States of America is very expensive. We understand that some banks involved will charge fees
totalling US$70.00 to US$100.00 per transaction.
However, in many countries, you can set up a PayPal account tied directly to your local bank.
You direct your bank to put money into your PayPal account either directly or through PayPal. Then you
register as a LawVantage® member, click PayPal as the method of payment and PayPal quickly and
electronically sends the appropriate payment from your PayPal account to our PayPal account and
sends us notice of payment received, and then our system automatically activates your account.
Q:
How many documents may I download under my password before my membership year has expired?
A:
Your membership term will expire at the earlier of the following two dates: the date on
which you have downloaded your fifth document or the date that is the 365th day after the
activation date of your membership. Furthermore, we reserve the right to change, or have you
change, your password from time to time. We do this in order to protect the integrity of your
membership and the site. Your membership will remain active for the entire membership year,
even if the password has been changed.
Q:
Do I need a PC to view and download documents or can I use a Macintosh?
A:
You should be able to view everything on our site and to download documents using either a
Personal Computer or an Apple Macintosh. If you have a problem reading a downloaded document
on your PC or Mac, please contact us at techsupport@LawVantage.com.
They should be able to resolve the problem.
Q:
What if I am unable to read the document that I just downloaded with my password?
A:
No problem! First, try to download the same document again in case the first transmission was
interrupted. If the document is still not readable go to our Contact Us page and select Problems
with Downloads from the topic drop down list to start the process. In the message body of the form
enter your user information, identify the unreadable document and describe what appeared on your
screen when you downloaded the document. (It helps us to repair the web site.) We will then forward
that previously downloaded document to you via e-mail.
Q:
What if I am missing part of the digital document that I just downloaded with my password?
A: No problem! First, try to download the same document again in case the first transmission
was interrupted. If the document is still incomplete go to our Contact Us page and select Problems
with Downloads from the topic drop down list to start the process. In the message body enter your
user information, identify the incomplete document and describe those pages or sections (headings)
of the document that you did receive. (It helps us to repair the web site.) We will then forward
that previously downloaded document to you via e-mail.
Q:
Why does the RTF document open in Wordpad rather than Word or WordPerfect when I click on it
in Windows Explorer on my PC?
A:
Your program association in Windows Explorer is set for WordPad. To reset it to use Word to open the RTF files, do the following:

- Open Windows Explorer, then Right Click on any RTF document. A drop down list will appear after you right click on the RTF document.
- Select "open with" from the set of choices on the drop down list.
- Select "choose program" from next set of choices on the drop down list.
- Under the list of recommended programs, select "Microsoft Word" from set of choices on the drop down list.
- Click (to enter a check mark) the box next to "Always use the selected program to open this kind of file."
- Finally, click OK. This will have reset Windows Explorer to use Word to open RTF files.

Q:
The font changed from Arial to one or more other font types after I downloaded a document or began editing it, so how do I get the font that I want?
A: This occasionally happens when documents are downloaded. To fix the problem or to change the font to an entirely different font, do the following:

- Open Word, then Left Click on Edit in the Toolbar. Select "Select all" from the set of choices on the drop down list that appeared under Edit.
- Left Click on Format in the Toolbar. Select "Font" from the set of choices on the drop down list.
- Select a font such as "Arial" or "Times New Roman" and select a font size such a "11" or "12" from sets of choices on the drop down list.
- Left Click on "OK" or press the "Enter" key on your keyboard and the entire document will change to your selected font and font size.

Q:
I joined already. Yet, when I connect to the Internet through AOL, each time I try to download a document using my password and username, I get a message telling me I am an unauthorized user. Why does this happen? How can I fix it?
A:
Many AOL users are actually using an AOL browser to access the Internet rather than Internet Explorer or Netscape. Unfortunately, the AOL browser is incompatible with the download portion of our web sites. Fortunately, the problem is easily fixed. Once you have registered as a member of LawAnytime.com, please follow these instructions to download documents from our site.

- Connect to the Internet through AOL.
- Minimize AOL.
- Launch Internet Explorer or Netscape.
- Using Internet Explorer or Netscape, download the desired document.
